As part of Lowenstein Sandler LLP's Executive Compensation and Employee Benefits group, Taryn provides counsel to clients on all aspects of employee benefits and executive compensation matters. Working closely with corporate executives, private companies —from start-ups to private equity firms— and public companies across a broad array of industries, she consistently focuses on providing sophisticated and efficient legal services that align with and enhance her clients’ business objectives.Taryn advises on all aspects of compliance and plan design related to tax-qualified plans, health and welfare plans, non-qualified deferred compensation plans, equity and equity-based plans, incentive compensation plans, ERISA fiduciary and disclosure obligations, prohibited transaction rules, and complicated Section 409A issues.In addition, she frequently advises on the compensation and employee benefits aspects of corporate transactions, including the negotiation of transaction documents, complex Section 280G and Section 409A matters, and the negotiation of employment arrangements; as well as consulting on the transition of employees and go-forward compensation and benefits.Taryn also counsels both companies and executives on the design, drafting, and negotiation of executive compensation arrangements, such as employment, equity, incentive compensation, bonus, change in control, and separation agreements. She works closely with her clients to understand their goals and is proactive in her counsel.Prior to joining Lowenstein Sandler LLP, Taryn worked as a tax manager in Deloitte Tax LLP's Global Employer Services practice group, where she assisted a wide variety of public and private companies with U.S. and international employee benefits and ERISA tax issues.
