I assist companies with all aspects of entity formation and also have experience in drafting operating, shareholders and buy-sell agreements. In addition, I advise clients in relation to daily legal issues, such as responding to or preparing vendor agreements, noncompetition or confidentiality agreements and similar contracts. I counsel clients in the negotiation of business acquisitions, mergers and sales, and manage due diligence for corporate transactions. I facilitate private securities placements including drafting private placement memoranda and related documents as well as preparing and filing necessary documentation with applicable federal and state regulatory authorities.
