L. Keith Parsons

Keith Parsons is a partner in the Corporate Practice Group. He focuses on public finance. Keith has more than 35 years of experience and knowledge of the legal needs of public and private sector clients in the areas of public finance, federal and state securities law, and business transactions. Keith works primarily on tax analysis under Section 103 of the Internal Revenue Code. He has worked on traditional bond issues for cities and counties, private activity bonds, school bond issues, 501(c)(3) hospital financings, university bond issues, and interest rate swap agreements. He is experienced in analyzing private use, 501(c)(3), arbitrage, and rebate questions. Earlier in his career, Keith worked as an advisor to businesses, especially in the areas of securities law, mergers and acquisitions, and strategic business issues. He has represented acquirers and sellers in mergers, stock acquisitions, and asset sales in various industry sectors. He has experience in registered securities offerings with the Securities and Exchange Commission, as well as private placements of securities, and he advises publicly traded companies on compliance with the federal securities laws. His transactional practice has involved work with other federal and state regulatory authorities, such as the Comptroller of Currency, the Farm Credit Administration, and state insurance and banking regulators.
